Welcome to Kanaan Technologies. These Sales Terms & Conditions govern your use of our website and the purchase of products from us. By placing an order with us, you agree to abide by these terms. Please read them carefully before making a purchase.

In these terms:

• “Kanaan Technologies” or “The Company” refers to Kanaan Technologies and its authorized representatives.
• “Purchaser” encompasses any individual, entity, or company whose order for Products is accepted by Kanaan Technologies.
• “Products” encompass all hardware items, engineering designs, or documentation that Kanaan Technologies has expressly agreed in writing to provide to the Purchaser.
• “Software” includes computer programs or other software solutions that Kanaan Technologies has agreed in writing to supply to the Purchaser.
• Clause headings are included for clarity and do not affect the interpretation of these conditions. Terms indicating singular shall be inclusive of the plural, and terms indicating any gender encompass all genders.

Unless otherwise explicitly agreed upon in writing, all orders and contracts are subject to these Conditions, which take precedence over any other terms and conditions, whether communicated through documents or correspondence.

By placing an order with Kanaan Technologies, you acknowledge that you have read, comprehended, and agreed to these terms and conditions, obliging yourself to abide by them.

Should you have any objections, comments, or complaints concerning our sales terms, kindly submit them in writing before finalizing your order.

Any alterations, additions, or omissions to these terms and conditions are binding on Kanaan Technologies only if formally authorized in writing and confirmed by an authorized Kanaan Technologies Officer.

When contacting Kanaan Technologies to place an order on behalf of your company, you assert your authority to place the order and represent your company. Ensuring that the order complies with these terms and conditions rests on your responsibility.

These terms and conditions, as well as the rights and obligations of all parties involved, shall be governed and interpreted exclusively in accordance with the laws of the United Arab Emirates.

Quotations remain valid for thirty days unless stated otherwise in writing. They do not impose obligations on either party until formally accepted by Kanaan Technologies.

Kanaan Technologies retains the right to refuse or delay the acceptance of any order for various reasons, including the need for clarification, stock availability, or incomplete information. Any proposed changes to the order must be requested in writing and approved by an authorized Kanaan Technologies Officer.

Certain handling fees apply during order preparation, as outlined below:

• Certificate of origin declaration (COO): $100.00 USD
• Attestation of Documents for Re-export: $100.00 USD in addition to the actual fees paid.
• Inspection fee by third party: $350.00 USD (If inspection is required before shipment)

Kanaan Technologies reserves the right to adjust prices before order acceptance, especially if the quotation exceeds its validity period or between order acceptance and the actual delivery date. Price adjustments may result from factors such as exchange rate fluctuations, transport costs, taxes, or discrepancies in the information provided.

Additional costs incurred by Kanaan Technologies due to any discrepancies or inaccuracies in the information provided shall be charged at Kanaan Technologies’ prevailing commercial rates.

Delivery periods are estimates and begin upon receipt of payment acknowledgement of the Purchaser’s order. The Company will make reasonable efforts to adhere to the specified delivery time but is not liable for any failure to do so.

The Company reserves the right to deliver in multiple consignments and invoice each separately.

The Company is not responsible for delays resulting from circumstances beyond its control, including government actions, labor disputes, transportation difficulties, shortages, accidents, or acts of nature. Compensation claims due to delayed delivery caused by force majeure or uncontrollable circumstances are not accepted.

The Company is not liable for goods during transit to the Purchaser. If The Company provides a shipping quote from a local freight Company, the Purchaser must specify their desire to insure the goods before shipment.

The Company is not responsible for losses or damages resulting from products or software purchased from The Company, nor for production loss, profit loss, or any other consequential economic loss. Proper import and export licenses are the responsibility of the Purchaser for goods delivery.

Failure to provide delivery instructions shall empower The Company to store products at its discretion. Payment for products and any associated storage charges shall become due immediately.

Unless otherwise agreed in writing, the full payment for purchased products must be settled by the Purchaser upon order placement. Orders will not be confirmed until full payment is received.

Title in the Goods shall not pass to the Purchaser until Kanaan Technologies has been paid in full for the Goods.

Risk in the goods shall pass to the Purchaser at the point of delivery, whether the transaction is deemed to be on the Purchaser’s or The Company’s site.

All cancellations must be approved by Kanaan Technologies and are subject to restocking charges. Charges will vary based on whether the product is stock or non-stock, with a minimum restocking charge varies from 20 to 30% of the net price.

Cancellation occurring one week after the Purchase Order date will result in the entire order value being charged to the customer.

The Purchaser shall reimburse The Company for any costs incurred due to order cancellation, including freight and manufacturer reimbursements.

If any material defect or manufacturing fault is found in the goods or software and reported to The Company in writing within the warranty period from the invoicing date (or as otherwise agreed in writing by The Company), The Company will consider it for warranty claims. However, this warranty does not apply to damages sustained in transit.

The warranty ceases to be effective if the goods are used for a purpose other than intended, not in accordance with The Company’s instructions, incorrectly.

Kanaan Technologies reserves the right, at its sole and absolute discretion, and at any time, to make changes or modifications to these terms and conditions related to our services. These changes and modifications will become effective immediately upon posting on the Kanaan Technologies website(s).
